Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and The Jennifer and James Wood Foundation ("we," "us," or "our"), concerning your access to and use of the woodjames.org website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

Important: You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these Terms of Use, then you are expressly prohibited from using the Site and you must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason.

We will alert you about any changes by updating the "Last updated" date of these Terms of Use, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.

Definitions

For the purposes of these Terms of Use:

"Content"

refers to any text, images, audio, video, software, code, and other materials displayed on or available through the Site, including but not limited to grant applications, donation forms, reports, and other informational materials.

"User Content"

means any content that users submit, post, upload, or otherwise make available on the Site, including but not limited to grant applications, comments, feedback, and other submissions.

"Services"

refers to all services provided through the Site, including but not limited to grant application processing, donation processing, informational resources, and communication tools.

"Grant Applicant"

means any individual or organization that submits a grant application through the Site.

"Donor"

means any individual or organization that makes a financial contribution through the Site.

Services Description

The Jennifer and James Wood Foundation provides the following services through our Site:

Grantmaking Services

  • Processing and review of grant applications from eligible organizations
  • Communication with grant applicants throughout the review process
  • Distribution of grant funds to approved organizations
  • Reporting on grant impact and outcomes

Donation Processing

  • Secure processing of one-time and recurring donations
  • Donor acknowledgment and receipt generation
  • Donor communication and impact reporting

Informational Resources

  • Publication of our focus areas and grantmaking priorities
  • Reporting on our philanthropic activities and impact
  • Educational content about our areas of focus

Note: We reserve the right to withdraw or amend our Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period.

Eligibility

The Site is intended for users who are at least 18 years of age. Persons under the age of 18 are not permitted to use or register for the Site.

By using the Site, you represent and warrant that:

  • You have the legal capacity and agree to comply with these Terms of Use
  • You are not a minor in the jurisdiction in which you reside
  • You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise
  • You will not use the Site for any illegal or unauthorized purpose
  • Your use of the Site will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).

User Accounts

To access certain features of the Site, including grant application submission and donation history, you may be required to register for an account.

Account Registration

When you register for an account, you agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate, current, and complete
  • Maintain the security of your password and accept all risks of unauthorized access to your account
  • Notify us immediately if you discover or otherwise suspect any security breaches related to the Site
  • Take responsibility for all activities that occur under your account

Account Security

You are responsible for maintaining the confidentiality of your login information and are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use, or suspected unauthorized use of your account or any other breach of security.

Important Security Notice

We cannot and will not be liable for any loss or damage arising from your failure to comply with the above security requirements. You may be held liable for losses incurred by us or any other user of the Site due to someone else using your account.

Intellectual Property

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions.

Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal or internal business use, subject to these Terms of Use.

Restrictions

You are not permitted to:

  • Copy, reproduce, distribute, or create derivative works of the Content
  • Use the Content for any commercial purpose without our express written consent
  • Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without our written permission
  • Use information from the Site for any unauthorized marketing or solicitation purposes
  • Circumvent, disable, or otherwise interfere with security-related features of the Site

User Content

Definition

"User Content" means any and all information and content that a user submits to, or uses with, the Site (e.g., content in the user's profile, grant applications, comments, or postings). You are exclusively responsible for your User Content.

License Grant

By posting any User Content, you expressly grant, and you represent and warrant that you have a right to grant, to us a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, publicly perform, publicly display, and make derivative works of all such User Content and your name, voice, and/or likeness as contained in your User Content, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Site.

User Content Representations

You acknowledge and agree that any User Content you submit:

  • Is non-confidential and will be treated as non-confidential and non-proprietary
  • May be used by us without compensation or attribution to you
  • May be shared with our staff, board members, and consultants for evaluation purposes

Grant Application Content: While we maintain the confidentiality of grant application materials to the extent possible during our review process, we cannot guarantee absolute confidentiality. We may share application information with external reviewers, consultants, and board members as part of our due diligence process.

Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree not to:

  • Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us
  • Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email
  • Use the Site to advertise or offer to sell goods and services
  • Circumvent, disable, or otherwise interfere with security-related features of the Site
  • Engage in unauthorized framing of or linking to the Site
  • Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Site
  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools
  • Delete the copyright or other proprietary rights notice from any Content
  • Attempt to impersonate another user or person or use the username of another user
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you
  • Use the Site in a manner inconsistent with any applicable laws or regulations

Grant Applications

Application Process

By submitting a grant application through our Site, you acknowledge and agree to the following:

  • All information provided in the application is true, accurate, and complete to the best of your knowledge
  • You have the authority to submit the application on behalf of the organization
  • You understand that submission of an application does not guarantee funding
  • All funding decisions are made at the sole discretion of The Jennifer and James Wood Foundation

Review Process

We reserve the right to:

  • Request additional information or documentation from applicants
  • Conduct site visits or interviews as part of the review process
  • Verify information provided in the application
  • Reject any application for any reason, with or without cause

Grant Agreements

If your application is approved, you will be required to enter into a formal grant agreement that outlines the terms and conditions of the grant, including reporting requirements, use of funds, and other obligations.

Important Notice

We do not guarantee that any grant application will be approved or that any specific amount of funding will be awarded. All grant decisions are final and not subject to appeal.

Donations

Donation Processing

By making a donation through our Site, you acknowledge and agree to the following:

  • All donations are voluntary and non-refundable
  • We will make reasonable efforts to use donations for their designated purposes, but we reserve the right to redirect funds to areas of greatest need when necessary
  • You will receive a receipt for tax purposes for donations of $250 or more
  • We are not responsible for any technical issues that may prevent your donation from being processed

Recurring Donations

If you set up a recurring donation, you authorize us to charge your payment method on the recurring schedule you selected until you cancel the donation. You may cancel recurring donations at any time by contacting us or through your account settings.

Tax Deductibility

The Jennifer and James Wood Foundation is a recognized 501(c)(3) organization. Donations are tax-deductible to the extent allowed by law. Please consult with your tax advisor regarding the deductibility of your donation.

Note: While we make every effort to honor donor designations, we retain discretion and control over the use of all donated funds and may redirect funds when necessary to fulfill our charitable mission most effectively.
